Financial Services

Our experienced financial services team focuses on the needs of our clients in their business, markets, products and regulation, in the financial services, capital, credit and investment sectors

Financial Services is one of the economy’s most important and influential sectors, with participants delivering a diverse range of products and services.  The sector thrives on market transformation, evolving to meet the challenges from technology and other disruptors and responding to the ever changing geopolitical, economic and regulatory environment, and the needs of its customers.

The pace of legislative change is bewildering and so access to experienced, commercially minded advisers is vital.  Most businesses want to be innovative and plan a step or two ahead of the status quo.  As the financial services sector becomes digitally native, there are many relationships and legal risks to manage so a business can thrive.

Our experienced financial services team focuses on the needs of our clients in their business, markets, products, and regulation, in the financial services, capital, credit and investment sectors.  We have a proven track record in advising and working with financial institutions, financial services providers, intermediaries, and other industry participants.

We offer our clients a competitive advantage by providing seamless legal services which reflect a combination of our team’s corporate, commercial, regulatory, prudential and investigation skills, matched with a deep knowledge and understanding of financial markets and regulators.  The law makes our business: we use it to make yours sustainable and profitable.

Specific areas of advice

We have a vast range of experience of the business cycle, the relationships that determine success and realising the value in a business when it is opportune. See our Corporate pages for more detail.

The FCA and PRA determine good and bad practice in this sector.

The vast majority of participants have an FCA relationship, and everyone strives for that relationship to work well. Sometimes it doesn’t.

We can help you determine what good practice is for you and good management of the FCA’s interest in your business or people.

All business relies to some extent on other business to deliver its products and services.

The FCA has particular interests in and rules on supplier and technology procurement, outsourcing, insourcing and management, or updating operating models, processes and procedures.

Economics determines if outsourcing or insourcing is an answer to immediate needs.

Whatever the answer, the operating model must work, because doing things right first time is the best economic model.  We will help you achieve that, using our deep knowledge of current FCA regulations and our practical in-house experience.

Employment law applies equally within this sector as in any other. The FCA introduced the SMCR tool (Senior Managers & Certification Regime) to reduce harm to consumers and strengthen market integrity, by making individuals more accountable for their conduct and competence.

SMCR is an opportunity to establish healthy cultures and effective governance by encouraging greater individual accountability and setting a new standard of personal conduct.

Working with our employment colleagues we can help you establish business practices and procedures to:

  • Encourage a culture of staff at all levels taking personal responsibility for their actions.
  • Make sure firms and staff clearly understand and can demonstrate where responsibility lies.

Every aspect of the product life cycle and a firm’s experience of business under FCA regulation is impacted by the law.

We have experience of it all and more. This is not the place to list that experience.

Suffice to say our experience has moved from specialising in pensions, recognising the potential of modems and the internet back in the 90s, following the money into investments, broking, and wealth management, through to banking and payment services, and now we are taking our plastic blocks to help understand blockchain and take the crypt out of crypto.

We are pretty sure there is something round the corner.

Our corporate team has seen most everything. It has seen the market adapt to the requirements of the FCA, the need to notify the decision to acquire or sell a firm and receive approval on change control and suggestions on achieving good customer outcomes in any proposal.

Whether you are looking to protect your trademarks and IP, engage an IT supplier or reach your customer by digital devices, we can help.

It is not unusual for disagreements and errors to lead to disputes. We rather like to help businesses resolve the matter at hand without progressing to tribunals, ombudsmen, or the courts.

And while we don’t undertake court work, we do have a network of firms throughout the country that we can call on where necessary.

What we did for...

It was important to us that our legal advisers were aligned to our business values, and we were impressed by the approach Vialex took to support our business by offering a ‘virtual’ in-house legal team who look after our day-to-day legal needs.

George Tait - Director and Company Secretary

We have worked with Vialex since 2012, following our buyout from a major UK foods group, when our fast evolving business required a different approach to meet our legal services needs in a cost effective way. At the time it was something of a leap of faith for Quorn Foods but we have been delighted with the service from Vialex, and the appetite they have shown to support us in any way they can.

David Artindale - Head of Procurement
We use the Vialex Legal Counsel Service as our day-to-day support for all our contracts and legal issues. They act as an extension of our own team and work with us to help us achieve our commercial goals. The subscription means we can get the advice we need when we need it for a fixed cost.

Arceeb Moughal - Director of Commercial

The Vialex Legal Counsel Service does what it says on the tin. We get a quality legal support service that responds to our needs, very often working to short timescales. The Vialex team has been particularly instrumental in assisting with our international contractual arrangements as we expand our reach into a number of new overseas markets.
